Terms of Service (ToS)

1. Scope
These Terms of Service (ToS) govern the use of the services provided by Atrium.music, including its website and the Atrium iOS and Android apps (collectively, the "Platform"). Services include the offerings provided by the Platform, paid user accounts, creating venue listings, sending booking requests, and interacting with other users through user-generated content features (UGC). By registering and using the Platform, users agree to these ToS. The Platform is operated by Atrium Music Ltd.
2. Registration
2.1 Registration on the Platform is paid and serves to provide users with access to certain content and functions of the Platform. To register, users must create a user account by filling out a registration form and providing their email address and a password. The user is obligated to provide truthful, accurate, and complete information and to keep their access data secure. The user is also obligated to keep their personal data up to date at all times. By completing registration, you explicitly agree to these Terms of Service and our Privacy Policy.
2.2 Registration is only permitted for natural persons aged 18 and over. Atrium.music reserves the right to reject registrations or to block existing user accounts if there are indications of incorrect information or misuse.
2.3 After successful registration, users will receive a confirmation email to complete their registration. Only after confirming the email address is the registration complete, and the user can access the offered content.
3. Scope of Services
3.1 After successful registration, users can either create a personal profile (individual account) or create venue listings (venue owner account).
3.2 Atrium.music allows users with an individual account to see venue listings and send booking requests. Users may also create and interact with user-generated content as defined in Section 5.
3.3 Atrium.music allows users with a venue owner account to create venue listings.
4. Contract Conclusion and Payment Terms
4.1 The presentation of our subscriptions on the Platform does not constitute a legally binding offer but an invitation without obligation to the user to submit an offer to conclude a contract. By selecting a subscription and completing the order process, the user makes a binding offer to conclude a paid subscription. The contract is only concluded upon our explicit acceptance declaration, which takes place through a separate email ("Order Confirmation"), or at the latest with the provision of the subscribed services.
4.2 The contract for the use of the paid content is concluded as soon as the user subscribes to a paid subscription on the Platform. The user receives immediate access to the platform. The user commits to paying the specified fee for the use of the paid content. This fee is binding and must be paid in advance.
4.3 The billing of the paid subscription takes place monthly in advance. Payment can be made via the payment service providers offered on the Platform, such as Stripe. By subscribing, the user authorizes Atrium.music to debit the due amounts via the chosen payment method. The subscription automatically renews at the end of the respective billing period unless the user cancels it in time.
4.4 If a payment cannot be successfully processed, for example, due to insufficient account balance or incorrect payment information, Atrium.music reserves the right to temporarily suspend access to the paid content until the payment has been successfully made. The user remains obligated to settle the outstanding amounts.
5 User-Generated Content (UGC)
5.1 Definition: User-Generated Content (UGC) includes, but is not limited to, all content, information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials that you upload, post, transmit, or otherwise make available through the Platform. This includes user profiles, venue listings, comments, reviews, messages, and any other content created or shared by users.
5.2 Responsibility for UGC: You are solely responsible for your UGC. By uploading, posting, or transmitting UGC, you represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish and use your UGC.
5.3 Prohibited Content and Behavior - ZERO TOLERANCE POLICY: Atrium.music has a zero-tolerance policy for objectionable content and abusive users. You explicitly agree not to upload, post, transmit, or otherwise make available any UGC that:
- Is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
- Promotes illegal activities, violence, discrimination (based on race, ethnicity, religion, gender, sexual orientation, disability, etc.), or harassment of any kind.
- Contains nudity, pornography, or sexually explicit material.
- Is spam, unsolicited advertising, or any other form of commercial solicitation.
- Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
- Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
- Impersonates any person or entity, or falsely states or otherwise misrepresents your affiliation with a person or entity.
- Violates the privacy rights of others, including but not limited to, posting of personal information (e.g., names, addresses, phone numbers, email addresses, social security numbers) of others without their express consent.
5.4 Content Moderation and Enforcement: Atrium.music actively monitors and moderates UGC. You understand and agree that Atrium.music has the right, but not the obligation, to:
- Review, screen, edit, or remove any UGC at its sole discretion, without prior notice, that violates these ToS or is otherwise objectionable.
- Suspend or terminate user accounts, restrict access to the Platform, and/or report users to relevant authorities if they violate these ToS, particularly regarding objectionable content or abusive behavior. There will be no tolerance for users who provide offending content.
- Act on all reports of objectionable content or abusive users within 24 hours of being notified.
5.5 Reporting Mechanisms: Atrium.music provides mechanisms for users to report objectionable content and block abusive users. If you encounter any content or user that violates these ToS, please use the provided "Report" or "Block" features within the Platform. All reports are reviewed, and appropriate action is taken promptly.
6. Termination
6.1 The paid subscription can be canceled by the user at any time at the end of the current billing period. Cancellation can be made via the user account on the Platform. A cancellation becomes effective at the end of the current billing period, and no further fees will be charged.
6.2 After cancellation, access to the platform ends upon expiration of the current billing period. The user has no claim to a refund of payments already made for the current billing period.
6.3 Atrium.music reserves the right to immediately and without notice terminate or suspend a user account, remove content, and restrict access if the user violates these ToS, particularly regarding objectionable content or abusive behavior (as defined in Section 5), or repeatedly fails to make payments. In such a case, access to the paid content will be immediately blocked.
6.4 Atrium.music further reserves the right to terminate the offered services or subscriptions at any time with a notice period of 30 days. In such a case, the user will be granted a pro-rata refund for the remaining period of the already paid subscription.
7. Disclaimer of Liability
7.1 Atrium.music endeavors to keep the provided information up to date and verified but assumes no warranty for the accuracy, completeness, and timeliness of the content.
7.2 Atrium.music is not liable for the availability, error-free operation, and security of the Platform. Technical problems, maintenance work, or other reasons may cause the Platform to be temporarily unavailable. Atrium.music assumes no liability for any damages or losses resulting from such unavailability.
8. Usage Rights
8.1 The content provided on the Platform, including user profiles and venue listings, is protected by copyright. All rights to these contents remain with Atrium Music Ltd or the respective rights holders. By submitting UGC, you grant Atrium.music a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your UGC in connection with the services and Atrium.music's business, including without limitation for promoting and redistributing part or all of the Platform (and derivative works thereof) in any media formats and through any media channels.
8.2 Users are granted the non-exclusive, non-transferable, and revocable right to use the provided content exclusively for the use within the platform. Any use beyond this is prohibited. In particular, it is not permitted to reproduce, distribute, make publicly accessible, or edit the content unless explicit written permission from Atrium.music is obtained.
8.3 Use of the content for commercial purposes or its disclosure to third parties is expressly prohibited without prior consent. Violations of these provisions may lead to legal consequences and immediate termination of the user account without notice.
8.4 All trademarks, logos, and other identifiers used on the Platform are the property of Atrium Music Ltd or third parties. The use of these trademarks, logos, or identifiers is not permitted without the express consent of the respective rights' holder.
9. Data Protection
9.1 Atrium.music collects, processes, and stores personal data of users exclusively within the framework of legal provisions. Further information on the processing of personal data can be found in the Platform's Privacy Policy.
9.2 Atrium.music is committed to protecting users' personal data and using it only for the purposes specified in the Privacy Policy. Users have the right at any time to obtain information about their stored data and to request its deletion, provided that no legal retention obligations conflict.
10. Right of Withdrawal
10.1 Consumers have the right to withdraw from this contract within 14 days without giving any reason.
10.2 The withdrawal period is 14 days from the day of the conclusion of the contract.
10.3 To exercise the right of withdrawal, you must inform us (Atrium.music) by means of a clear statement (e.g., a letter sent by post or email) of your decision to withdraw from this contract. It is sufficient to provide your email address with which you registered, the subject "Withdrawal," and the designation of the subscription you wish to withdraw.
10.4 To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
10.5 Exceptions: The right of withdrawal expires if the service has been fully performed and the performance has begun after the consumer has expressly consented that the execution of the service begins before the expiry of the withdrawal period and has confirmed their knowledge that they thereby lose their right of withdrawal.
10.6 In the event of withdrawal, payments already made will be refunded within 14 days from the day on which we received the notification of your withdrawal, using the same payment method unless expressly agreed otherwise.
10.7 With the withdrawal, access to the paid model portfolios and the weekly updated weights ends, and access is deactivated.
11. Final Provisions
11.1 Atrium Music Ltd reserves the right to change these ToS at any time. Changes will be communicated to users via email. If the user does not object to the amended ToS within 14 days, they are considered accepted.
11.2 The law of the UK applies. The place of jurisdiction is, as far as legally permissible, the registered office of Atrium Music Ltd.
11.3 Should any provision of these ToS be wholly or partially invalid or unenforceable, the validity of the remaining provisions remains unaffected. In place of the invalid or unenforceable provision, a regulation shall apply that comes as close as possible to the economic purpose of the invalid provision.
11.4 These ToS constitute the entire agreement between you and Atrium Music Ltd regarding the use of the services of and supersede all prior or contemporaneous oral, written, or electronic communications and offers between you and Atrium.music concerning the services.
